7.3 Control of Suit; Joinder; Expenses.
If either party wishes to commence a lawsuit to in accordance with Section 7.2, it shall bear all costs and expenses incurred by it in connection with such lawsuit, provided, however, that the non-suing party agrees to allow itself to be named as a party (individually or jointly) if reasonably necessary for jurisdictional purposes. The non-suing party shall use its best efforts to cooperate with the suing party in connection with such lawsuit and shall be responsible for the costs and expenses incurred by it and for those costs and expenses incurred by it at the reasonable request of the suing party with respect to such cooperation.

7.3　訴訟の管理；共同；費用。

The non-suing party may not settle or enter into a consent judgment or other voluntary final disposition of any lawsuit relating to the Licensed Materials, the Other Enhancements, the JX Enhancements, GW’s, AMP’s, or JX's intellectual property rights in the Licensed Materials, Other Enhancements or JX Enhancements, and/or either party's ability to exercise its rights or perform its obligations under this Agreement to which it is a party without the prior written consent of the other party.

7.4 Reovery.
The party bearing the costs associated with any lawsuit under this Article 7 shall be entitled to any recovery received as a result of such lawsuit. In the event the parties jointly contribute to the cost of the lawsuit, then in the event of a monetary recovery, the costs will be paid first, and any remaining recovery will be split between the parties pro-rata based on their contributions to the suit.

7.4 回収。

7.2(a) AMP, at its own expense, shall have the right, but not the obligation, to resolve (i) any suspected/potential infringement and prosecute any infringement of the Licensed Materials and Other Enhancements, and/or (ii) any actual or potential claim or cause of action AMP believes it has or may have or which a third party has or may have against JX or AMP arising out of or related to the Licensed Materials or the Other Enhancements.

7.1
During the term of this Agreement, JX shall provide prompt written notice to AMP of any actual infringement or suspected/potential infringement of the Licensed Materials or Other Enhancements of which JX is or becomes aware and shall provide, to the extent reasonable and practicable, any available evidence of such infringement by a third party (an “Infringement Notice”).

7.1

In addition, during the term of this Agreement, JX shall also provide prompt written notice to AMP of any facts, circumstances, or events which negatively impact or which JX reasonably believes negatively impact the ability of JX to exercise its rights or to perform its obligations under this Agreement or the ability of AMP to exercise its rights or to perform its obligations under the GW Agreement or this Agreement or which negatively impact AMP's or GW’s intellectual property rights in the Licensed Materials or Other Enhancements.

JX shall provide, to the extent reasonable and practicable, details of (i) the potential claim(s) or cause(s) of action which JX reasonably believes a third party may assert against JX, AMP, and/or GW, and (ii) sufficient information to enable AMP to evaluate the issues and the potential effect and impact such claims may have on its rights under this Agreement or the GW Agreement, the Licensed Materials, and the Other Enhancements (a “Potential Claim Notice”).

JX specifically acknowledges that it has no rights to register, patent or otherwise seek intellectual property protection for the Licensed Materials or Other Enhancements. JX further acknowledges that AMP has no duty or obligation to notify JX of or provide JX with Other Enhancements.
b)
As between JX and AMP, title, ownership rights, and intellectual property rights in and to the JX Enhancements that arise as a result of or during the term of this Agreement, shall remain with JX. AMP acknowledges such ownership and intellectual property rights and will not take any action to jeopardize, limit, or interfere in any manner with JX's ownership of or rights with respect to the JX Enhancements.

JX Enhancements are protected by copyright and other intellectual property laws and by international treaties.
AMP specifically acknowledges that it has no rights to register, patent or otherwise seek intellectual property protection for the JX Enhancements.
1.6
With respect to the Materials and any derivative works of the Materials, and to the extent regulatory approval is required, JX shall use its best efforts to obtain the approval of each applicable regulatory authority prior to the first commercial sale in each country/jurisdiction in which JX intends to license the Products, and JX shall be solely responsible for any and all liabilities arising out of or resulting from JX's failure to obtain such approval.

JX will not license or give access to the Licensed Materials, the Other Enhancements or the JX Enhancements to any entity or country to whom disclosure is prohibited by US Export laws and regulations, including, without limitation, giving access to any person or entity on the US Export Control List, as the same may be modified or updated from time to time.
Should a modification of such export laws and regulations result in one of the parties to whom JX has already disclosed the Licensed Materials, Other Enhancements or JX Enhancements to a party to whom disclose is then prohibited, JX shall immediately notify AMP of such situation in writing and work with AMP to resolve the issue.

JX shall ensure that, to the extent covered by any patent, each Product manufactured, sold, or licensed in the United States shall bear patent markings that meet all applicable requirements of 35 U.S.C. § 287, as amended from time to time. All Products manufactured, sold or licensed outside of the United States shall be marked in such a manner as to conform to the applicable law of such country/jurisdiction.

It is understood that one or more US Governmental Authorities funded research, during the course of or under which certain of the Licensed Materials were conceived or made, as a result, the US Government is entitled, as a right, under the provisions of the Code of Federal Regulations, to a non-exclusive, non-transferable, paid-up license to practice or have practiced and use the affected Licensed Materials for governmental purposes. Exhibit A identifies which portions of the Licensed Materials were developed using funding provided by a US Governmental Authority.

GW retains all rights it has regarding the Licensed Materials. AMP retains all rights it has regarding the Licensed Materials, but not limited to, the right to access, install, execute, use, copy, distribute, and modify of the Licensed Materials, to make, develop, use, lease, offer to license, offer to sell, import, and export GW’s rights in the Licensed Materials, and to sublicense the Licensed Materials to third parties, including, without limitation, the right to license Products to end users worldwide. For purposes of this Agreement, JX Enhancements shall mean any customizations, improvements, modifications, fixes or enhancements that JX, its employees, or sub-sublicensees make to the Licensed Materials.

1.4

IN NO EVENT SHALL AMP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, LIQUIDATED, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES OR LOST PROFITS ARISING OUT OF THE USE OF OR INABILITY TO USE THE LICENSED MATERIAL, PRODUCT, OR OTHER ENHANCEMENTS INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED. WITHOUT LIMITING THE FOREGOING, AMP IS NOT RESPONSIBLE FOR ANY LIABILITY ARISING OUT OF THE DEVELOPMENT, ADVERTISING, MARKETING, DISTRIBUTION, SALES, LICENSING, OR USE OF ANY KIND OF JX ENHANCEMENTS.

JX agrees to defend, indemnify and hold GW and AMP and their trustees, directors, officers, employees, agents, and advisors harmless from and against any and all claims, demands, losses, costs, expenses, deficiencies, liabilities, or causes of action of any kind or nature (including, without limitation, reasonable attorneys’ fees, and other costs and expenses of defense) based upon, arising out of, or otherwise relating to:
(a) The use of the Licensed Materials, Other Enhancements or any modifications made thereto by JX or any of its end users or sub-sublicensees and any results to be derived therefrom;
(b) The production, use, practice, or license of any Product or any results to be derived therefrom;

JXはGWとAMPおよびその受託人、取締役、役員、従業、代理人、顧問を、以下に挙げる事項に基づいてまたはそれらから生じるまたはそれらに関連して生じるあらゆるクレーム、要求、損失、費用、出費、不足、責任ならびにあらゆる種類または性質の行為の原因（妥当な弁護士費用やその他防衛に要する費用）から損害を受けないように防衛することに合意する：

(c) Any advertising or other promotional activities with respect to (a) and/or (b) above;
(d) JX's failure to obtain any applicable regulatory or other approvals as required under Section 1.7 of this Agreement;
(e) JX’s compliance with, and performance of, its representations and warranties given under and its obligations pursuant to this Agreement or any agreement between JX and any third party; and
(f) any third party claims alleging that the Products, the use of the Products, JX's or its agents' or licensees' use of the Licensed Materials or Other Enhancements, or the JX Enhancements or use of the JX Enhancements result in infringement of such third party's intellectual property rights.

(c)上記(a)および／または(b)に関する広告やその他の販促活動；
(d)本契約のセクション1.7に基づいて必要とされる適用可能な法令に基づく承認またはその他の承認を得ることをJXが怠った場合

(Injunctive Relief)
Notwithstanding any provision of this Agreement to the contrary, either party may seek temporary or preliminary injunctive relief as necessary to preserve or protect such party’s Proprietary Information.

(Assignment and Transfer)
JASDA may not assign or otherwise transfer by operation of law or otherwise this Agreement or any rights or obligations herein without the prior express written consent of AMPLI, which shall not be unreasonably withheld.

（差止救済）
本契約の本条項に反する他の条項にかかわらず、いずれの当事者も、自身の所有情報の保持または保護に必要な場合は一時的または予備的差止救済を求めることができる。

（譲渡と移転）
JASDAは、法の運用または本契約によりまたは本契約の条項により、AMPLIの事前所書面による同意なしに本契約の権利または義務を譲渡または移転してはならない。ただし要な場合はAMPLIはそのような同意を不当に保留してはならない。

"Ming Da" wasn't a name we'd heard before, but the sheer beauty of Meixing' Electronics' MC-7R valve preamplifier and the 'direct-from-the-manufacturer' pricing of ￡288 was too enticing a prospect for Jhon May to ignore...

This interesting preamp comes extremely well packed in a very sturdy cardboard box-within-2-box-
if weight is any indicator of quality, then the Ming Da MC-7R is supreme at 9.5kg the first thing that greets the user upon opening the first box is a pair of white cotton gloves.
These are included to avoid spolling the polished chrome appearance of the preamp or the included valves, It also brings a certain element of ritual to the proceedings - a nice touch in these 'plug & play' days !
